The move will keep Felton and May, the fifth and 13th overall selections in the 2005 draft respectively, in Charlotte through the 2007-08 season.
The Bobcats also extended qualifying offers to forwards Melvin Ely and Bernard Robinson, giving the club the option to match any offer from another NBA team.
Felton averaged 11.9 points, 5.6 rebounds, 3.3 assists and 1.28 steals last season in a team-high 80 games.
May, meanwhile, missed the final 43 games of the 2005-06 season after having knee surgery on January 20. He averaged 8.2 points and 4.7 rebounds in the only 23 games.
Ely averaged 9.8 points and 4.9 rebounds last season while Robinson posted 6.4 points, 3.3 rebounds and 1.2 assists in 66 games in 2005-06.
